1 Agreement to these terms
These Terms and Conditions ("Terms") are a binding agreement between you and TRULY INC LIMITED (PARTNERUP) ("we", "us", "PartnerUp"), and they govern your access to and use of the PartnerUp mobile app and related services (together, the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
2 Who can use PartnerUp
You must be at least 18 years old and able to form a binding contract to use the Service. By using PartnerUp you confirm that you meet these requirements, that the information you provide is accurate, and that you are not barred from using the Service under the laws of your country.
You may use PartnerUp only for its intended purpose: finding people to build or work on a venture or project with. One person, one account. You are responsible for everything that happens under your account.
3 What PartnerUp is
PartnerUp is a platform that helps people discover and connect with potential business partners through profiles, a curated daily pick, and a consent-based handshake. We provide the introduction. We do not employ, represent, vouch for, or screen any user, and we are not a party to any relationship, agreement, or venture you form with another user.
Nothing in the Service is legal, financial, tax, or investment advice. A profile that mentions capital, funding, or a venture stage is a self-reported signal from a user, not a representation by us. Any decision you make about working with, investing in, or taking money from another person is yours alone.
4 Your account and profile
You are responsible for keeping your login secure and for the accuracy of your profile. Do not impersonate anyone, misrepresent your skills, experience, or affiliations, or create a profile for someone else without their permission.
Your profile becomes discoverable to other signed-in users once it is complete. You can edit it, step out of discovery, or delete your account at any time from within the app.
5 Acceptable use
You agree not to use the Service to:
- harass, threaten, demean, or discriminate against anyone, or post content that is hateful, violent, or sexually explicit;
- send spam, chain messages, mass or automated outreach, or use the Service to recruit for unrelated schemes;
- impersonate a person or organization, or misrepresent your identity, credentials, or intentions;
- solicit money, investment, or personal financial information under false pretenses, or run any fraudulent or deceptive scheme;
- collect or scrape other users' data, or use bots, crawlers, or automated means to access the Service;
- upload malware, attempt to breach security, reverse engineer the Service, or interfere with its normal operation;
- post content you do not have the right to share, or that infringes someone else's intellectual property or privacy;
- break any applicable law or regulation.
We may review reported content and conduct, and we may remove content or limit, suspend, or end accounts that violate these Terms.
6 Your content
You keep ownership of the content you add to PartnerUp: your profile text, prompts, photos, pitch video, and links ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display Your Content for the purpose of operating and improving the Service, including showing it to other users as part of normal discovery and matching.
This license ends when you delete Your Content or your account, except for copies retained for a reasonable period in backups or as required by law, and except for content others have already saved or that must be kept for safety or legal reasons.
You are responsible for Your Content and confirm you have the rights to share it.
7 Nudges, matches, and messaging
Reaching out on PartnerUp is mutual by design. You can send a nudge to signal interest. If the other person accepts, you match, and only then can either of you send messages. Allowances for nudges and other features depend on your plan and may change over time.
A declined or expired nudge, a block, or a removed match may limit your ability to contact someone again. These limits exist to keep outreach consensual, and we may adjust them to protect the community.
8 Your own due diligence
Choosing a business partner is consequential. We do not verify the identity, background, qualifications, or conduct of users, and a match is not an endorsement. Before you share confidential information, sign anything, move money, or commit to a venture, do your own checks and seek professional advice where appropriate.
Treat early conversations the way you would treat meeting anyone new through an introduction. Protect sensitive information, meet in safe settings, and trust your judgment. If something feels wrong, use the report and block tools in the app.
9 Subscriptions and billing
PartnerUp is free to use, with an optional paid subscription ("PartnerUp Pro") that unlocks additional features. Subscriptions are sold and billed through the app store you downloaded the app from (the Apple App Store or Google Play) and are managed on our behalf by RevenueCat. Prices and what each plan includes are shown in the app before you buy.
Auto-renewal
Paid subscriptions renew automatically at the end of each billing period unless you cancel at least 24 hours before the period ends. Your store account is charged for renewal within 24 hours of the period end.
Managing and cancelling
You manage, change, or cancel your subscription in your app store account settings, not inside PartnerUp. Cancelling stops future renewals; you keep Pro access until the end of the period you have already paid for.
Refunds
Payments are handled by the app stores, so refunds are subject to their policies. We do not separately control or issue store refunds, except where a refund is required by law.
10 Suspension and termination
You can stop using the Service and delete your account at any time. We may suspend or end your access if you violate these Terms, create risk for other users, or use the Service in a way that could harm PartnerUp or others. Where reasonable and lawful, we will tell you why.
Sections that by their nature should survive termination (including content license terms already used, disclaimers, limitation of liability, and indemnification) continue to apply after your account ends.
11 Disclaimers
The Service is provided on an "as is" and "as available" basis to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, error free, or secure, that profiles are accurate, or that you will find a partner, a match, or any particular outcome.
We are not responsible for the conduct of any user, online or offline, or for any agreement, venture, loss, or dispute that results from a connection made through the Service.
12 Limitation of liability
To the fullest extent permitted by law, PartnerUp and its owners, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or business opportunities, arising out of or relating to your use of the Service.
Where liability cannot be excluded, our total liability to you for all claims relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim, or GBP 100. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.
13 Indemnification
You agree to indemnify and hold PartnerUp harmless from claims, damages, and reasonable expenses (including legal fees) that arise from your content, your use of the Service, your dealings with other users, or your breach of these Terms, to the extent permitted by law.
14 Changes
We may update the Service and these Terms from time to time. When changes are material, we will give reasonable notice, for example in the app or by email. By continuing to use the Service after a change takes effect, you accept the updated Terms.
15 Governing law and disputes
These Terms are governed by the laws of England and Wales, without regard to conflict-of-law rules. You and PartnerUp agree to the exclusive jurisdiction of the courts of England and Wales for any dispute that is not otherwise resolved, except where applicable law gives you the right to bring a claim elsewhere.
